3. Client Responsibilities

As a client, you agree to:

• Access & Resources: Provide necessary access to systems, documentation, and team members
• Payment Terms: Pay invoices according to agreed terms and conditions

• Feedback: Provide constructive feedback to help improve service delivery

4. Service Delivery

4.1 Consultation Process

• Initial consultation to understand your requirements and objectives
• Detailed project analysis and scope definition
• Proposal development with clear deliverables and timelines
• Regular progress updates and milestone reviews
• Final delivery and knowledge transfer

4.2 Deliverables

All deliverables will be clearly defined in the project proposal and may include:

5. Intellectual Property

5.1 Client IP

All existing intellectual property, including code, designs, and business processes, remains the property of the client. I will not claim ownership of any pre-existing client intellectual property.

5.2 Work Product

Work product created specifically for your project will be owned by you upon full payment. This includes custom code, documentation, and designs developed specifically for your requirements.

5.3 General Knowledge

I retain the right to use general knowledge, methodologies, and best practices gained during our engagement for future projects, provided no confidential client information is disclosed.

9. Service Availability

While I strive to provide reliable and consistent service:

• Service availability may be subject to scheduling constraints
• Emergency support is not guaranteed unless specifically contracted
• I reserve the right to modify or discontinue services with reasonable notice
• Force majeure events may affect service delivery timelines

10. Termination

10.1 Termination by Client

You may terminate services at any time with written notice. Payment is due for all work completed up to the termination date.

10.2 Termination by Consultant

I may terminate services if:

• Payment is overdue by more than 30 days
• Client breaches confidentiality or other material terms
• Project scope changes significantly beyond original agreement
• Professional relationship becomes untenable

11. Dispute Resolution

Any disputes arising from these Terms or the services provided shall be resolved through:

• Good Faith Negotiation: Initial attempt to resolve through direct communication
• Mediation: If negotiation fails, parties agree to mediation
• Arbitration: Binding arbitration as a last resort
• Governing Law: These Terms are governed by the laws of India

12. Force Majeure

I shall not be liable for any failure or delay in performance due to circumstances beyond my reasonable control, including but not limited to natural disasters, government actions, war, terrorism, or pandemic-related restrictions.

13. Modifications

I reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on my website. Continued use of my services after changes constitutes acceptance of the modified Terms.

14. Severability
